HYPERLINK""摘要连锁董事是中国学术界将要面临的一个新研究课题。同时在两家或两家以上公司的董事会兼任董事职务的董事，我们把其称为连锁董事。正如本文实证研究所显示那样，截止2003年12月31日，我国存在连锁董事关系的企业占总样本数62.9%。还有如在连锁定义中给出的例子所示，同一董事成员同时兼任多家公司董事职位现象也非常普遍。总之，连锁董事现象，无论在企业层面，还是在个人角度都能体现出其普遍性。这就为这项研究提供了立论依据。本文首先界定连锁董事的一些相关概念，并介绍连锁董事研究起源。其次，本文总结了国外有关连锁董事研究的两个层面理论，即连锁董事的组织层面理论和阶层内部（个人层面）理论。其中，前者包括三个理论，即互惠理论、资源依赖理论，以及金融控制理论，它们是服务于组织之间的战略意图；而后者包括两个理论，即管理控制理论和阶层领导理论，它们则是服务于阶层内部（个人之间）利益的机制。再次，由于连锁董事理论得到了来自于不同角度的诠释，对于多方理论的整合是一个重大的课题。对此，本文在综合了各方理论的基础上，提出了连锁董事个人——组织双层的有限理性模型，从而很好地整合了连锁董事理论。接下来，本文对中国上市公司的情况做了实证研究，认为中国的连锁董事现象不仅非常普遍，还显示出连锁董事的地区性特征。最后，给出论文研究对政府和企业的启示，并指出论文缺陷和进一步研究方向。关键词：连锁董事，连锁董事理论，中国上市公司实证分析ABSTRACTInterlockingdirectoratesisanimpendingprojectwewillconfrontinourcountry’sacademicfields.Somedirectorateservesonseveralboardsatthesametime,namelyinterlockingdirectorates.Astheempiricalresearchimply,therelationshipofinterlockingdirectoratesinourcountryaccountfor62.9%inthesampleset.What’smore,itisacommonphenomenonthatonedirectoratepossessesseveralpositionsindirectorates,whichisbasedonthecertificationstheauthorilluminatesinthesectionofinterlockingdirectorates’definition.Inaword,whetherviewedfromtheperspectiveoforganizationorinterclass,thephenomenonofinterlockingdirectoratesiswidespread,whichlaidthefoundationforthethesisarguments.Firstly,thethesisenlightensseveralrelativedefinitionsandexposestheoriginofinterlockingdirectorates.Secondly,theauthorsummarizedduallayerinterlockingdirectorates’theoryoutofforeignliteratures,namely,inter-organizationorinterclasstheoryofinterlockingdirectorates.Theformer,whichconsistsofthereciprocitytheoryandtheresourcedependencytheoryandthefinancecontroltheory,servesinter-organizationintention.Thelatter,whichconsistsofthemanagementcontroltheoryandtheclasshegemonytheory,servesinterclassintention.Thirdly,becauseofvariousinterpretationsonthetheoryofinterlockingdirectorates,thestudyoninterlockingdirectoratesconfrontsachallengingtask,whichistheintegrationofvarioustheories.Aimingatthis,theauthorconstructsalimitedrationalit
